Brand Owner Agreement (Connected Account Agreement)
Version date: 15 October 2026
Whiteboss is operated by Luzarn sp. z o.o. (LUZARN SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ).
1. Scope and definitions
This agreement governs the optional Whiteboss Income integration used by a business to accept payments through websites or applications managed with Whiteboss. Income is separate from Whiteboss Billing, which covers the business's purchase of Whiteboss services.
In this agreement:
- Whiteboss, we, and us mean Luzarn sp. z o.o., the operator identified in the Terms of Service.
- Brand Owner, merchant, and you mean the individual or legal entity operating the relevant business and selling its goods, services, or digital products through its website or application. The term does not require ownership of a registered trademark.
- Customer means a purchaser or user of your goods, services, or digital products.
- Connected Account means the Stripe merchant account connected to Whiteboss for Live payments.
- Live means the environment used for real customer payments.
- Sandbox means the separate test environment using a fictional test connected account managed by Whiteboss in its platform Stripe sandbox.
- Gateway means Whiteboss's integration that submits supported payment operations to Stripe for the relevant merchant account.
This agreement supplements the Whiteboss Terms of Service. For the Income integration, its specific provisions take precedence over conflicting general provisions of those Terms. Other Whiteboss services remain governed by the Terms of Service. Mandatory applicable law continues to apply.
This is an agreement with Whiteboss. It does not replace the Stripe Connected Account Agreement or the applicable Stripe Services Agreement. Your relationship with Stripe, including payment processing and account services, is governed by the applicable Stripe agreements.
2. Business onboarding and account eligibility
The person setting up Income must be authorized to act for the Brand Owner and authorize the relevant account connection. You must provide accurate and current business, contact, ownership, and account information and select the country where your merchant business is established.
Stripe determines account eligibility, performs its verification, and may require information or documents about your business, representatives, owners, and activities. You must complete and maintain Stripe's onboarding requirements. Whiteboss may rely on Stripe's account-status information when enabling or restricting the integration. Completing onboarding does not guarantee approval, uninterrupted processing, or any particular payout schedule.
Live payments use a Stripe merchant account created through Stripe-hosted onboarding with access to the full Stripe Dashboard. When you ask the Whiteboss assistant to implement or test a feature requiring payment operations, it may create and enable a separate fictional test account on your behalf. This requires no Stripe registration, business verification, or API keys from you. It uses fictional business and representative information, and moves no real money. Sandbox products, prices, customers, and subscriptions do not automatically become Live records when a website is published. The assistant does not accept this agreement or authorize real payments on your behalf.
Income is optional and disabled until configured and enabled. You are responsible for deciding when your business and website are ready to accept Live payments.
3. Authorized payment operations and account security
By accepting this agreement and requesting Live Income setup, you authorize Whiteboss to create your Connected Account using the business and contact information you provide, initiate Stripe-hosted onboarding, and retrieve account verification requirements, capabilities, and payment and payout status.
When you enable Income, you authorize Whiteboss to perform the following supported operations on your behalf, in response to instructions from your authorized users or your managed website or application: create and retrieve checkout sessions and payment requests; create, retrieve, and update customers, products, and prices; list products and prices; create, retrieve, update, and cancel subscriptions; create customer-portal sessions; create and retrieve payment-method setup requests; retrieve invoices; and issue refunds. Whiteboss may apply and request refunds of its application fee as described in section 4.
You also authorize Whiteboss to retrieve associated records through Stripe's APIs, receive account-status and payment-event information through Stripe webhooks, and provide relevant records and events to your managed website or application. These authorizations are limited to providing Income as described in this agreement and remain subject to section 8.
You remain responsible for the instructions, prices, payment amounts, customer permissions, and application behavior you configure. You must obtain any customer consent or authorization required for a payment, recurring charge, saved payment method, or subscription change. Connecting an account does not authorize transactions unrelated to your business instructions.
Protect access to Whiteboss and Stripe, limit staff access appropriately, and notify us promptly at hello@whiteboss.ai if you suspect unauthorized use of the integration. Whiteboss manages test credentials; you do not need to supply them. Do not expose private Stripe keys or webhook signing secrets in customer-facing pages, browser code, public repositories, or other public material.
4. Whiteboss fees and Stripe charges
Whiteboss collects a 1% application fee on Live payments created through the Gateway. For subscriptions created through the Gateway, the 1% fee applies to applicable subscription payments, including subsequent payments and renewals. Updating a subscription through the Gateway also sets its application-fee percentage to 1%, including where that subscription was originally created through your Stripe Dashboard or another integration. The fee applies to invoice payments to which Stripe applies that subscription setting.
For one-time payments, the fee is calculated on the final payment amount submitted through the Gateway, including tax or other charges included in that amount. The amount is rounded half up to the currency's smallest unit. For example, on a PLN 100.00 payment the Whiteboss fee is PLN 1.00. For subscriptions, Stripe applies the 1% application-fee percentage to applicable subscription invoice payments under its calculation rules.
The application fee is collected through Stripe from the relevant payment. It is separate from Stripe's processing, currency-conversion, dispute, and other applicable charges, and from your Whiteboss subscription or other platform charges. Stripe's charges are governed by your agreement with Stripe. Any taxes legally due on Whiteboss's own fees are governed by applicable law and the applicable billing disclosures.
The preview (Sandbox) website uses its separate test account and cannot move real money. The published (Live) website uses your Live Connected Account after you complete setup and enable real payments. No private Stripe Sandbox setup or merchant API credentials are required. Whiteboss does not automatically impose an application fee on payments or subscriptions created independently in your Stripe Dashboard or through another integration. However, subsequently updating a subscription through the Gateway sets its application-fee percentage as described above. It does not charge an auction fee to your customers or impose commission merely because you communicate with a customer or sell through another channel.
Refunds submitted through the Gateway request the corresponding proportional refund of the Whiteboss application fee through Stripe, including for partial refunds. A refund made independently in Stripe may require separate handling of the application fee under Stripe's rules. Refundability of Stripe's own charges is determined by Stripe. This provision does not promise that a dispute or chargeback automatically refunds every fee.
5. Your goods, services, and customer relationships
You are the seller or provider of your offerings and are responsible for your customer relationships. Whiteboss provides website, application, and payment-integration tools. Use of those tools does not make Whiteboss the seller, merchant of record, agent, guarantor, or party to your customer contracts.
You are responsible for:
- lawful, accurate descriptions, prices, availability, and marketing of your offerings;
- holding the rights, licenses, permissions, and approvals needed to offer them;
- publishing appropriate customer terms, privacy information, refund and cancellation policies, and contact details;
- fulfilling orders, providing services or digital access, and meeting delivery commitments;
- handling support, complaints, returns, refunds, and applicable warranties;
- tax registration, calculation, collection, reporting, and payment where required;
- applicable consumer rights, including withdrawal rights and their exceptions for the relevant goods or services;
- applicable product safety, intellectual-property, import/export, sanctions, and other legal requirements.
You must review AI-generated or edited commercial content before publishing it. Whiteboss's creation, editing, hosting, or technical processing of content does not constitute product inspection, certification, endorsement, or legal approval.
You must not use Income for fraudulent or artificial transactions, money laundering, prohibited products or services, unauthorized charges, or conduct prohibited by applicable law or Stripe's applicable restrictions. You may sell through other channels, subject to your customer commitments and applicable law.
6. Payment processing, balances, and payouts
Stripe processes payments and administers the Connected Account's balance and payouts under its applicable agreements. Processing availability, supported currencies and payment methods, currency conversion, verification, payout timing, reserves, and account restrictions depend on Stripe and the applicable account configuration.
The current Live account configuration uses Stripe as the collector of processing fees and the party responsible for negative-balance losses in the Connect configuration. This allocation does not cancel your payment, refund, dispute, or other obligations to Stripe under your applicable agreements.
Whiteboss does not promise immediate payment or a fixed payout schedule and does not condition payouts on its confirmation of shipment or delivery. Whiteboss does not set an auction exchange rate or acquire ownership of your proceeds merely because you breach this agreement. Any lawful restriction imposed by Stripe or a competent authority remains subject to applicable law and the relevant provider terms.
A customer's visit to a success page is not confirmation of a completed payment. Your business must verify payment status and maintain appropriate order, fulfillment, and accounting records. You are responsible for configuring your application to handle payment failures, asynchronous payments, subscription changes, and duplicate or delayed notifications appropriately.
7. Refunds, payment disputes, and customer complaints
You are responsible for deciding and issuing refunds in accordance with your customer agreements and applicable law, and for managing payment disputes through Stripe. You must respond to relevant Stripe requests, preserve appropriate transaction records, and provide accurate evidence within applicable deadlines.
Your financial obligations for refunds, chargebacks, disputes, and related charges are governed by your applicable Stripe agreements and mandatory law. The Whiteboss application-fee refund treatment is described in section 4.
Whiteboss may provide technical assistance concerning the integration. It does not undertake to adjudicate every customer dispute, mediate every sale, issue legal notices on your customers' behalf, or guarantee recovery of a payment. A technical account restriction does not by itself cancel your contract with a customer or extinguish your fulfillment or refund obligations.
8. Suspension, disabling Income, and outstanding transactions
Whiteboss may restrict or suspend the integration where reasonably necessary to address unauthorized access, fraud, prohibited activity, security risks, a material breach, a legal requirement, or a Stripe restriction. Measures should be proportionate to the circumstances. Where permitted and practicable, Whiteboss will explain the restriction and the steps available to address it. Notice and termination requirements under the Terms of Service and mandatory law remain applicable.
Restrictions on the Whiteboss integration are distinct from restrictions Stripe may impose on your Stripe account. This agreement does not create an automatic forfeiture of your account balance, a fixed penalty for non-delivery, an escalating fine for breaches, or an unrestricted right for Whiteboss to seize merchant payouts.
You may disable new payment operations through Income. Disabling Income, suspending a website, or ending Whiteboss hosting does not automatically cancel existing Stripe subscriptions. Such subscriptions may continue to charge customers and carry their existing application fee until changed or canceled through Stripe in accordance with the applicable agreements.
Before disabling or leaving the integration, review outstanding orders, subscriptions, refunds, disputes, and customer commitments. Arrange any necessary cancellation or migration and maintain access to the Stripe records and customer support needed to discharge your obligations. Disabling new payments preserves authorized Gateway access for refunds, subscription cancellation, and other supported maintenance of existing activity. Disconnecting Stripe access withdraws that authorization; manage outstanding matters through your Stripe Dashboard where available.
Disabling new payment operations does not withdraw your authorization for Whiteboss to retrieve records and receive, store, or deliver events concerning existing transactions while the relevant environment and connection remain available. Website downtime can delay application processing. Continued reconciliation is not guaranteed after an environment is deleted or Whiteboss services end.
You may separately withdraw Whiteboss's authorization to access your Connected Account or perform operations on your behalf using the "Disconnect Stripe account" control in the Danger zone of your company settings. Withdrawal stops further account-data retrieval, account operations, and storage or delivery of new account events through Whiteboss. It does not automatically cancel existing Stripe subscriptions, refund payments, or remove application fees already attached to subscriptions. Manage outstanding subscriptions, refunds, disputes, and fees through Stripe.
Withdrawal does not require deletion of records already lawfully obtained where retention remains permitted or required under the applicable agreements and law. Such retention does not authorize further access to your Stripe account.
9. Payment data and privacy
You authorize Whiteboss to access, receive, store, use, and share with Stripe the account, customer, and transaction information reasonably necessary to provide Income and perform the operations authorized under this agreement. This information includes business and contact details supplied during account setup; account identifiers, verification requirements, capabilities, and status; and customer, product, price, checkout, payment, payment-method setup, subscription, invoice, refund, and related event information.
Whiteboss accesses this information through information you or your application submit, Stripe's APIs, and Stripe webhooks. Whiteboss stores account connection and status information and webhook event payloads, and makes relevant records and events available to your authorized users and managed website or application. Whiteboss uses this information to submit and reconcile authorized operations, apply or refund fees, route events, provide support, and address security or legal requirements.
You expressly authorize Whiteboss to send this information to Stripe for account setup and verification, payment processing, subscription management, refunds, and other operations authorized under this agreement. Stripe processes information under its applicable agreements and privacy notices. These authorizations do not replace any customer notice, lawful basis, or permission required under applicable data-protection law.
Whiteboss's processing of personal data is described in the Privacy Policy. Where Whiteboss processes personal data on your behalf, the applicable Data Processing Addendum governs that processing. The Subprocessors document provides the applicable information about service providers.
You must provide your customers with accurate privacy notices and establish the lawful basis and permissions required for your processing and sharing of their information. The connection does not provide general consent on behalf of your customers or replace your data-protection obligations.
10. Acceptance, changes, and relationship to other terms
Before Whiteboss creates your Live Connected Account, an authorized representative must expressly accept this agreement through the Income setup process. Whiteboss records the accepting user, the represented business, the agreement version, and the acceptance date and time. Existing Connected Accounts must complete this acceptance before further Live account access or operations through Whiteboss. Publication of this page, viewing a footer link, or accepting Stripe's own terms alone does not constitute acceptance of this agreement.
Changes to this agreement must follow the notice, effective-date, consent, and termination requirements applicable under the Whiteboss Terms of Service and mandatory law. Where express consent is required, silence does not replace it. An updated page alone does not establish acceptance of a changed fee or other term requiring consent.
The Terms of Service govern matters not specifically addressed here, including the applicable liability provisions, governing law, and dispute-resolution rules, subject to mandatory law. This agreement does not override your customers' mandatory rights or replace the customer terms your business must establish.
11. Contact
For questions about this agreement or technical issues with Income, contact Whiteboss at hello@whiteboss.ai. Full operator and postal contact details appear in the Terms of Service.
For Stripe account verification, payouts, or payment disputes, use the applicable Stripe Dashboard and Stripe support channels. Your customers should contact your business about their purchases, delivery, cancellations, and refunds.
